Minnesota also keeps the contents refreshingly minimal. The renewal covers your registered office address, a registered agent if your company lists one, your principal executive office, and a contact name. There's no roster of members, no share counts, and no financial disclosures.
When Is the Minnesota Annual Renewal Due?
Your Annual Renewal is due by December 31 every year. The filing window opens January 1, so you have the entire calendar year to submit.
One wrinkle new business owners appreciate knowing: your first renewal isn't due the year you form. The obligation begins the calendar year after your formation filing. Form your LLC in 2026, and your first Annual Renewal window runs from January 1 through December 31 of 2027.

A couple of entity types are exceptions worth flagging. Limited liability partnerships pay $135 by mail or $155 online for their renewal, and foreign for-profit corporations pay $115 by mail or $135 online. If you run an LLC, though, the renewal itself carries no charge while you're in good standing.
How to File Your Minnesota Annual Renewal
Filing takes just a few minutes when nothing major has changed:
- Pull up your business record. Start from the Secretary of State's renewals page and locate your entity through the business search.
- Review and update what the renewal allows. You can update your principal executive office address and your chief manager's name and address directly on the renewal, once per year.
- Submit through your preferred channel. Online filings are processed immediately. Mail and in-person submissions take roughly 4 to 7 business days.
- Save your confirmation. Keep the confirmation or stamped copy with your business records.
One limitation to know about: the renewal can't change your business name, your registered agent, or your registered office. Those updates require a separate amendment filing with its own fee, $35 by mail or $55 online and in person.
What Happens If You Miss December 31
Minnesota doesn't charge a late fee. The consequence is more serious than that. Under Minn. Stat. § 322C.0705, an LLC that fails to file by December 31 is statutorily dissolved by the Secretary of State, and the statute doesn't require any further notice before it happens.
The good news is that Minnesota allows retroactive reinstatement. As long as your business name is still available, you can restore your LLC by filing the current year's Annual Renewal along with a reinstatement fee, which the state's current renewal form lists at $65 by mail or $85 for expedited in-person and online filing. Your LLC's existence is treated as though it never lapsed, but that's an avoidable expense for a filing that's free when submitted on time.
